The two most common methods of transferring property in India are through a Gift Deed and a Sale Deed. Although both of these can be used to transfer ownership, they differ greatly in purpose, payment structure and financial consequences.

What constitutes a sale deed?

A sale deed is a legal document which is used in the situation where a property is transferred from the seller to the buyer in return for money; it includes details such as the description of the property, the agreed sale price, the terms of payment and the transfer of ownership.

When it has been properly carried out and registered, the Sale Deed serves as a key piece of evidence of ownership; registration is especially important in the case of transactions concerning immovable property since the Registration Act of 1908 mandates that instruments which create or transfer rights in such property must be registered.

What constitutes a gift deed?

A gift deed is the type of deed employed when someone voluntarily gives ownership of property to another person without being paid or receiving anything else in return; it is often used in cases involving members of a family, for example when parents give property to their children. Registration is required in the case of a gift of immovable property under section 17 of the Registration Act, 1908.

Stamp duty and tax?

A major difference lies in the cost of the transfer. Since stamp duty and registration fees are mainly set by state laws, the amount that has to be paid can vary considerably from state to state. In some states, gift deeds involving certain close relatives may be given some concessions, but buyers and property owners should verify the most recent local rates before finalising a transaction.

The way in which the gifts are treated for tax purposes is also different. According to the Income Tax Act, some gifts of immovable property may become taxable when they are in the hands of the recipient on the basis of the property's value, the relationship between the parties and other conditions; gifts from specified relatives are usually dealt with differently from those received from non-relatives.

The seller might also have to pay capital gains tax as a result of the sale, depending on factors such as the original cost of the property, the length of time it had been held, and the relevant tax rules.

Why the Difference Matters in 2026?

What deed should you select?

Before signing either of the documents, it is necessary to check the property's title, the existing loans, any encumbrances, the stamp duty, the registration charges and the relevant tax rules. As state laws can differ, it is advisable to obtain advice from a qualified property lawyer or tax expert in order to prevent making costly mistakes.
